Welcome to BTA Group LLC. By accessing our website, using our cloud services, or engaging our professional accounting, tax, and administrative management services, you agree to comply with the following terms and conditions.
1. Acceptance and Scope of Terms
These terms govern the professional relationship between BTA Group LLC and any user or entity that utilizes our services.

General Users: These terms apply to anyone browsing the BTA Group LLC website or making transactional purchases.

Contracted Clients: For entities that have an active contract with BTA, these terms serve as a supplement. In the event of a conflict, the specific clauses of the contract signed with BTA Group LLC shall prevail.

2. Client Responsibilities and Accuracy of Information
In order for BTA Group LLC to fulfill its management duties, the Client acknowledges and agrees to the following:

The accuracy of financial statements, tax returns, and official filings depends entirely on the Client providing truthful, complete, and timely information to BTA Group LLC.

BTA Group LLC establishes a schedule of critical dates for document submission. The Client’s failure to meet these deadlines releases BTA Group LLC from any liability for penalties, interest, or surcharges imposed by the Puerto Rico Department of Treasury (Departamento de Hacienda), the Municipal Revenues Collection Center (CRIM), or any other government agency.

3. Institutional Communications and Reminders
By accepting these terms, the Client grants their express consent for BTA Group LLC to send them electronic communications, including:

Scheduled reminders on the 28th of each month regarding pending tasks and tax closings.

Notifications of regulatory changes affecting their business in Puerto Rico.

BTA Group LLC will use the official channels designated by the Client for the secure exchange of documents, preferably in PDF format.

4. Payment Authorization and Direct Debit (ACH)
BTA Group LLC uses the Automated Clearing House (ACH) system for the collection of fees and services.

NACHA Compliance: All ACH transactions processed by BTA Group LLC comply with the regulations of the National Automated Clearing House Association (NACHA).

Data Retention: BTA Group LLC will securely retain the payment authorization form for a minimum period of two (2) years following the termination of service.

Right of Revocation: The Client may revoke their automatic debit authorization by notifying BTA Group LLC in writing at least [insert number]* business days in advance of the next scheduled charge. (Note: The original Spanish text is missing the specific number of days before “días laborables”).

5. Privacy Policy and Data Handling (Act 39-2012)

In accordance with Puerto Rico Act No. 39-2012, BTA Group LLC informs you that it collects sensitive personal information (such as Social Security Numbers and banking details) exclusively to:

– Provide the contracted accounting and tax advisory services.
– Validate the Client’s identity before government agencies.

BTA Group LLC will not sell or transfer your data to third parties for advertising purposes. The handling of this data is governed by the BTA Group LLC Privacy Policy, which is available on our website.

6. Intellectual Property
All content present on the website, communication templates designed in Canva, standard operating procedures, manuals, and any materials provided by BTA Group LLC are the exclusive intellectual property of BTA Group LLC. Their reproduction or distribution is strictly prohibited without the prior written consent of BTA Group LLC.
7. Limitation of Liability
BTA Group LLC performs its duties with the highest professional diligence. However, BTA Group LLC shall not be liable for financial losses resulting from the Client’s business decisions or from incomplete information provided for the preparation of tax documents. The total liability of BTA Group LLC is limited strictly to the amount of the fees paid for the specific service that gave rise to the claim.
8. Governing Law and Jurisdiction
These terms are governed by the laws of the Commonwealth of Puerto Rico. Any dispute or legal claim against BTA Group LLC shall be submitted to the exclusive jurisdiction of the courts of the Judicial District of Aguadilla, Puerto Rico.
